New Excellence, hereinafter the "Provider", offers AuraPro, an ERP (Enterprise Resource Planning) solution delivered as SaaS (Software as a Service) or under a perpetual licence, designed to streamline business management (sales, inventory, invoicing, accounting, point of sale, etc.) through an online platform or a local installation. These Terms of Sale govern the contractual relationship between the Provider and its customers, hereinafter the "Customer". Any subscription or licence purchase implies full acceptance of these Terms.
The Provider offers three monthly subscription plans with no minimum commitment, payable by card or direct debit, a perpetual licence option, and a revenue-based plan available on request.
Each plan includes storage space for files uploaded to AuraPro. This covers documents hosted in the Documents module as well as media files linked to the Customer account (images, attachments and other files imported through the service).
When the included space is full, new uploads are rejected until the Customer frees space or upgrades to a higher plan. Existing files remain accessible; the Provider does not automatically delete stored files to free space.
A free account is offered on sign-up for SaaS plans, with no credit card, one user, a cap of ten invoices issued per month and ten POS sales per month. The perpetual licence is not eligible for the free account.
By default, AuraPro natively handles invoicing, commercial documents (quotes, invoices, credit notes, deposits, numbering) and point of sale (checkout, receipts, closures). No third-party service is required to use these features.
VosFactures (optional). The Customer may enable synchronisation with VosFactures, an independent third-party operator, from account settings using their own API credentials. Availability, pricing and compliance of VosFactures are solely the responsibility of that third party. Consistency audit and sync centre features apply only when VosFactures mode is active.
Hiboutik (optional). The Customer may enable a Hiboutik transactional backend for point of sale from POS settings using their own API credentials. By default, POS runs in local mode integrated with AuraPro. The AuraPro subscription does not include access to Hiboutik: contract, pricing and service levels are solely the responsibility of that third party.
E-invoicing and accredited platforms (optional). AuraPro provides a module to connect to partner dematerialisation platforms (PDP/PA) for receiving and, where applicable, issuing electronic invoices. The Customer remains solely responsible for registering with an accredited platform compliant with applicable regulations, choosing the platform, ensuring their business meets reform requirements (timeline, e-reporting, Factur-X, etc.) and maintaining valid connection credentials. The AuraPro subscription does not include access, hosting or billing for an accredited platform: contract, pricing and service levels are solely the responsibility of the third party. The Provider does not guarantee availability or regulatory acceptance of flows by the chosen platform; it supplies a technical connector whose scope may evolve according to supported platforms.
SaaS subscriptions are completed online on the Provider's website (aurapro.app). The perpetual licence is requested directly from the Provider (contact@aurapro.app), subject to Provider approval.
The Customer selects the plan or licence suited to their needs and provides the required information (identity, contact details, payment method).
For SaaS plans, activation occurs immediately after payment validation, or on sign-up for the free account. For the perpetual licence, activation occurs after full payment and technical setup.
SaaS subscriptions have no minimum term and renew automatically each month.
The Customer may cancel their SaaS subscription at any time from their online account; cancellation takes effect at the end of the current month. No refund is issued for the period already paid.
The perpetual licence is non-terminable; the Customer retains unlimited usage rights over time, including lifetime updates.
The Provider may suspend or terminate an account (SaaS or perpetual licence) in case of non-payment or breach of these Terms, after a formal notice remains unanswered for 7 calendar days.
SaaS subscription prices are shown in euros excluding VAT. Applicable VAT is added in accordance with current regulations. The perpetual licence price is €12,000 excl. VAT, payable in one instalment unless otherwise agreed between the parties.
For SaaS subscriptions, payment is made monthly by direct debit or card on the subscription anniversary date. For the revenue-based plan, the Customer declares excl. VAT revenue each quarter; the amount due is calculated according to the agreed rate, with any cap specified at activation. For the perpetual licence, payment is made in one instalment unless otherwise agreed.
The Provider may request reasonable proof to verify a revenue declaration. A manifestly inaccurate or missing declaration may lead to suspension of the plan after reminder.
In case of late payment, late penalties of 1.5% per month apply, plus a fixed recovery fee of €40, in accordance with Article L441-10 of the French Commercial Code.
Any change to SaaS subscription prices will be notified to the Customer by email at least 30 days before taking effect. Perpetual licence prices are fixed on the purchase date.
The free account allows use of Aura with one user, a cap of ten invoices issued per month and ten POS sales per month, with no commitment or automatic debit.
No billing occurs while the Customer remains on the free account. They may subscribe to a paid plan at any time to remove this cap.
The perpetual licence is not eligible for the free account.
The Provider undertakes to ensure continuous access to SaaS services, except during scheduled maintenance (notified at least 48 hours in advance) or force majeure. For the perpetual licence, the Provider supplies lifetime updates and hosts the service on its servers in France, with the same availability standards as SaaS plans.
Technical support is provided according to each plan (email for Essential and Standard, email and phone for Premium and perpetual licence).
The Provider makes invoicing and point-of-sale features integrated in AuraPro available, as well as optional connectors to third-party services (including VosFactures, Hiboutik and accredited e-invoicing platforms) when the Customer activates and configures them.
The Customer agrees to use AuraPro for its intended purpose, in accordance with these Terms and applicable laws.
The Customer is responsible for keeping their credentials confidential and for the accuracy of data provided.
Any abusive or fraudulent use of the service will result in immediate account suspension, including for perpetual licence holders.
The Customer is responsible for compliance of their business with legal and regulatory obligations, particularly regarding invoicing, accounting, point of sale and e-invoicing. When activating a third-party integration (VosFactures, Hiboutik, accredited platform or other), they must hold the necessary contracts, subscriptions and authorisations with the relevant third party.
The Provider retains exclusive ownership of AuraPro, including its source code, design and features.
SaaS Customers receive a non-exclusive, non-transferable licence limited to the duration of their subscription. Perpetual licence Customers receive a non-exclusive, non-transferable licence with no time limit, including lifetime updates.
Any unauthorised reproduction, modification or distribution of AuraPro is strictly prohibited.
Personal data collected is processed in accordance with the General Data Protection Regulation (GDPR) and used exclusively to provide the service.
The Customer has rights of access, rectification, erasure and portability of their data, exercisable by contacting contact@aurapro.app.
Data is retained for the duration of the SaaS subscription and up to 3 years after termination, unless otherwise required by law. For the perpetual licence, data is retained while the Customer uses the software, unless deletion is requested.
The Provider cannot be held liable for service interruptions due to events beyond its control (internet outages, cyberattacks, third-party service failures — including VosFactures, Hiboutik or an accredited platform when the corresponding optional integration is active — etc.).
The Provider's liability is limited to the total amount paid by the Customer for the SaaS subscription over the last 12 months or the perpetual licence price.
The Customer is responsible for regularly backing up their data using tools provided by AuraPro, whether in SaaS mode or with the perpetual licence.
The Provider may amend these Terms at any time. SaaS Customers will be informed by email at least 30 days before changes take effect. If they disagree, the Customer may cancel their subscription before the new Terms apply. Perpetual licence holders are not affected by post-purchase changes to these Terms, except for clauses relating to support and updates.
These Terms are governed by French law.
In case of dispute, the parties agree to seek an amicable solution. Failing that, the Commercial Court of Aix-en-Provence shall have jurisdiction.
